Goldman Sachs has agreed to acquire LCN Capital Partners for up to $410 million, adding a $3 billion commercial real estate investment manager to its growing asset management business.

Goldman Sachs Agrees to $410 Million LCN Deal

Goldman Sachs will pay about $260 million upfront for LCN Capital Partners. A further $150 million could follow if LCN meets long-term performance targets and service commitments. Around 80% of the total payment will come in Goldman Sachs stock.

LCN manages about $3 billion and focuses on sale-leaseback and triple-net lease investments. The company invests across North America and Europe, covering industrial, office, retail and other commercial properties. 

Goldman expects the acquisition to close by the end of 2026, subject to regulatory approval and standard closing conditions. LCN co-founders Edward LaPuma and Bryan York Colwell will join Goldman Sachs Asset Management alongside the wider LCN team.

LCN Adds Sale-Leaseback Business to Goldman

LCN’s business focuses on transactions that combine corporate financing with real estate. In a sale-leaseback deal, a company sells property to an investor and then leases it back. This structure allows the company to raise capital while continuing to use the property.

Meanwhile, triple-net leases generally require tenants to cover rent, taxes, insurance and maintenance costs. LCN has used these structures to serve institutional investors, insurers, family offices and wealthy clients.

“Their focus complements our private real estate team’s broad 30-year track record,” Goldman Sachs CEO David Solomon said. He added that LCN would expand the bank’s ability to serve insurance, institutional and wealth management clients.

Goldman Sachs Stock Falls as Acquisition Push Continues

Goldman Sachs shares traded near $1,032 on Tuesday, down about 1.8% over the latest session after closing at $1,051.31 previously. The move came as investors assessed the LCN acquisition alongside the bank’s wider expansion strategy.

The agreement marks Goldman’s second announced acquisition in less than 10 days. The bank recently agreed to acquire NEOS Investments for up to $2.25 billion, adding roughly $30 billion in ETF assets.

Goldman has been expanding its asset and wealth management operations through acquisitions. The LCN transaction adds a specialized real estate strategy to that business while bringing the firm’s existing investment funds and client relationships onto Goldman’s broader platform.

For asset managers, tokenized asset custody platforms can support secure on-chain real estate and debt strategies.
