Swedish Bitcoin treasury firm B Treasury Capital AB (BTC AB) has related to the public the outcome of its BTC AB rights issue. The subscription period closed on June 30, 2026, with the raise landing at a 52.3% subscription rate. The company issued preference A shares (BTC PREF) to help bolster its capital base and pick up additional Bitcoin. This marks a significant step for Europe’s growing class of pure-play Bitcoin treasury companies
BTC AB Rights Issue: Numbers, Structure, and What It Means
BTC AB offered up to 195,078 preference A shares at SEK 120 ($12.42) each. From that pool amount, about 15.0% was taken up through the actual exercise of the subscription rights, while 37.3% were subscribed without rights. The gross receipts were around SEK 12.2 million ($1.26M), while the net receipts ended up at about SEK 11.9 million after issue costs of roughly SEK 0.3 million.
The share capital increased by SEK 51.01 ($5.28), from SEK 500,416.75 to SEK 500,467.76. At the same time, the total number of shares goes up by 102,025 BTC PREF shares, which corresponds to a dilution of just 0.010% in share capital and 0.002% in voting power.
Crypto analyst Rod Burgundy reported on X that BTC PREF pulled off about 12% amplification since its IPO, versus Strategy only managing about 3.4% after their STRC launch. He called the preferred share “the lowest cost of capital Digital Credit in the world” and also claimed it’s the highest-paying preferred share in Sweden with a 10% annual dividend rate.
BTC AB just raised 12.2m SEK ($1.26m) through what is essentially the IPO of their preference shares, BTC PREF
This achieves 12% amplification from IPO
At a 10% annual dividend rate, BTC PREF is also the lowest cost of capital out of all Digital Credit

The BTC AB rights issue fits into a broader vibe across Europe, where Bitcoin treasury firms are shifting from simple, headline-grabbing accumulation toward a more structured capital design. It echoes a playbook that was pioneered by Strategy in the US, a firm that keeps tapping markets just to finance Bitcoin acquisitions. Michael Saylor earlier Teased Buying More Bitcoin, reinforcing how treasury-style Bitcoin firms continue to aggressively seek capital to grow BTC holdings.
BTC AB’s Bitcoin Treasury Model and What Comes Next
Founded as a pure-play Bitcoin treasury operator, Bitcoin treasury operator BTC AB got put on the Spotlight Stock Market in Sweden, with a clear mandate: acquire, secure, and then hold Bitcoin for the long run. The company works with two share groups, Class B common shares (BTCB) for that straight Bitcoin exposure and also BTC PREF, which is for the income-minded folks who still want Bitcoin-backed yield.
BTC PREF first trades on the Spotlight Stock Market, and it’s slated for around July 20, 2026. The preference shares include a 10% annual dividend rate to get a steady yield that’s underpinned by BTC AB’s Bitcoin reserve. The offered shares will be paid according to the settlement note instructions that were sent to subscribers.
This raise shows up while corporate Bitcoin buying is rising globally. Earlier in June, Cardone Capital Buys $18 Million in Bitcoin, and that adds 282 BTC to its reserve, which is another signal that institutional hunger for Bitcoin treasury strategies is still staying strong across different markets .
For BTC AB, the SEK 11.9 million ($1.23M) raised net of costs goes straight onto the balance sheet. No debt created, no big repayment obligations pop up. The company says this supports a flexible and risk-efficient approach to Bitcoin accumulation, a model increasingly common among European treasury firms.
