Elon Musk’s SpaceX Completes $60B Acquisition of Cursor AI Startup

SpaceX has officially completed its $60 billion acquisition of Cursor AI startup Anysphere, making Cursor a wholly owned subsidiary of the space company. The SPCX stock is down on the news, falling at the market open today.
SpaceX Completes Acquisition Of Cursor AI Startup
An SEC filing shows the company completed the acquisition, with its subsidiary X67 Inc. merging with Anysphere’s Cursor and Cursor becoming a wholly owned subsidiary of the company after the merger, effective August 14.
This comes just over two months after SpaceX first revealed plans to acquire Cursor through the merger, which valued Cursor AI at $60 billion. With the merger now effective, shares of Cursor’s common and preferred stock will automatically convert into an aggregate of 389,289,254 shares of SPCX stock, based on the $60 billion valuation and SPCX’s volume-weighted average closing price over the seven trading days immediately before the merger.
Furthermore, vested Cursor restricted stock units automatically convert into the right to receive an aggregate of 1,752,426 shares of the Company’s Class A common stock prior to any applicable tax withholding. SpaceX will provide cash in place of fractional shares.
Meanwhile, unvested Cursor restricted stock units and stock options convert to 29,128,326 of SPCX’s restricted stock units and 44,365,047 stock options to purchase the SPCX stock, respectively.
Cursor To Join The SpaceXAI Team
Cursor also confirmed the completion of the acquisition in an X post. “Today, we have officially closed our acquisition. We will join the SpaceXAI team to help make Grok the world’s most useful AI and improve Grok Build, Grok Bot, Grok API, Cursor, and more,” the post read. The move notably follows SpaceXAI’s release of Grok 4.6 earlier this year.

SpaceX stock is down at the market open following the merger close. The stock is currently trading at around $137, down over 2%, according to TradingView data. However, the stock has climbed over 23% over the last five days amid the release of Grok 4.6 and as traders priced in the completion of the acquisition.

Earlier this week, Morgan Stanley presented its bull case of $600 per share for SPCX. The bank’s analyst Adam Jones said Cursor could drive much of that upside as the space company works to build a broader AI platform. He also believes Cursor could generate significant revenue as code generation becomes more commoditized, with Cursor AI already dominating this area.
